Carlos R. Piñeiro, Esq.

Carlos brings a wealth of industry and legal experience to his real estate and finance practice.  His professional career of over 22 years spans from Commercial Real Estate Analyst to Vice President of Commercial Real Estate Lending to Chief Legal Officer.  The experience gained while working on both the business and the legal side of many complex transactions provides Carlos with a unique perspective in crafting and recommending strategies that enable clients to achieve their business objectives.

Carlos focuses his practice on commercial real estate finance and equity investment transactions, including the origination and sale of mortgage and mezzanine loans, participations, syndications, A/B notes, co-lender and inter-creditor arrangements, joint ventures, master repurchase facilities, corporate credit facilities, restructurings, workouts and foreclosures.  He also has broad experience in all aspects of commercial mortgage backed securities (CMBS) and collateralized loan obligations (CLO) transactions, including domestic and offshore private placements under Rule 144A and Regulation S of investment grade and non-investment grade notes.

Carlos served as an Adjunct Assistant Professor at the City University of New York, Brooklyn College where he taught undergraduate courses covering the essentials of real estate finance and management, as well as a basic understanding of the legal and economic aspects associated with real estate valuation, ownership and investment.

Prior to launching SP Legal Advisors PLLC, Carlos was Vice President and Associate General Counsel of AIG Global Real Estate Investment Corp., where he served as legal counsel to the commercial mortgage lending group in connection with mortgage loan originations, syndications and securitizations, secondary market transactions, alternative loan structures, loan servicing, and loan modifications, workouts and foreclosures.  Carlos’ experience also includes being Senior Vice President, Chief Legal Officer and Head of Securitization of Walker & Dunlop Commercial Property Funding, LLC; Vice President and Deputy General Counsel of LNR Property, LLC; and Associate in the real estate department of Skadden, Arps, Slate, Meagher & Flom LLP.

Shahram M. Siddiqui, Esq.

Since October 2016, Shahram has acted as a business and legal advisor to various family offices engaged in the deployment of real estate, private equity, private credit, and alternative investment strategies. He has assisted with advisory, formation and capital raising activities; sourcing, structuring and negotiation of acquisitions and joint ventures; equity and debt placements; and on-going monitoring and advisory services with respect to Federal, State, local and off-shore compliance matters.

Previously, Shahram was a Partner in the Business, Finance and Tax team of Berger Singerman LLP in Miami, Florida.  At Berger Singerman, Shahram advised his clients with respect to real estate capital markets, syndicated loan transactions and other credit facilities, commercial mortgage loan origination and securitization, as well as other real estate financing vehicles such as CDOs and CLOs.  Shahram also handled acquisitions, financings and dispositions of all classes of commercial real estate by domestic and off-shore entities and family offices; the formation of and investment by domestic and off-shore investment funds; and financing in compliance with Islamic (Sharia) law.

Prior to Berger Singerman, Shahram was the Executive Vice President, Secretary and Corporate Counsel for LNR Property LLC, having joined LNR in 2011.  In such role, Shahram was responsible for coordinating, in conjunction with the general counsels for each of LNR’s operating divisions (including LNR Partners, LLC, Hatfield Philips International Limited and the Commercial Property Group), the global legal affairs of LNR.

Prior to joining LNR, Shahram was a senior Associate in the real estate department of Skadden, Arps, Slate, Meagher & Flom LLP.
